Practice

Two disciplines. One standard of preparation.

A transaction is rarely just a transaction. We work the real estate and the entity together — the asset, the ownership, and the exposure — so nothing closes with a problem still inside it.

01

Commercial Real Estate

Acquisition, disposition, entitlement, leasing, and financing of income property across Newport Beach, Orange County, and the California coast.

  • Purchase and sale of commercial property
  • Retail, office, and industrial leasing
  • Development, entitlement, and construction contracts
  • Joint ventures, LLC formation, and equity structures
  • Acquisition and permanent financing
  • Title, boundary, and land use disputes

02

Corporate Law

Formation through exit: governance, ownership transitions, and the agreements that hold a company together when pressure arrives.

  • Entity formation and restructuring
  • Mergers, acquisitions, and asset sales
  • Shareholder, operating, and buy-sell agreements
  • Founder and investor negotiations
  • Commercial contracts and vendor agreements
  • Governance, fiduciary duty, and internal disputes

The Attorneys

Two partners. More than seventy years of combined practice.

Both were born and raised in Orange County and both graduated from the University of Southern California, where each serves as a non-executive board member. This firm is small by design: the attorney you meet is the attorney who handles your matter.

Founding Partner

Jeffrey W. Robertson

Commercial Real Estate · Corporate Law · Since 1990

Jeffrey Robertson has spent more than three decades in commercial real estate and corporate law, and he has been in the room for the decisions that do not allow a second attempt: the purchase of an underperforming asset, the partnership that has to be unwound cleanly, the lease that will set a tenant's economics for the next decade.

He reviews a deal the way an owner does, and he has built a reputation for telling a client plainly when a transaction should not happen. That judgment is why developers, landlords, and family-held companies bring him in before terms are agreed, not after.

Born and raised in Orange County, Jeffrey is a graduate of the University of Southern California and serves as a non-executive board member there. He practices the way he was trained: preparation first, leverage second, and a result that still holds years after closing.

“I have never told a client what they wanted to hear. I have always told them what the contract actually says.”

Rebecca Morgan

Corporate & Business Law · Since 1988

Rebecca Morgan has advised companies on structure, ownership, and governance since 1988, long enough to know which agreements hold up in a downturn and which ones fail when they are tested.

She works with founders, family-held businesses, and established corporations on the transactions that change who owns what: acquisitions, recapitalizations, buyouts, and the succession of a company from one generation to the next. Clients rely on her for the discipline to close a deal and the judgment to recognize when the structure, not the price, is the real problem.

Rebecca was born and raised in Orange County and is a graduate of the University of Southern California, where she serves as a non-executive board member.

“A structure that fails under pressure was never a structure. It was a document.”

Client Accounts

What clients say about working with the firm.

Comments shared by business clients of the firm. Names are abbreviated at the client's request.

“We came to Jeffrey with a lease that would have locked us into a decade we could not survive. He found the provision everyone else had skimmed, rebuilt the terms, and we opened on schedule. He has handled every property we have acquired since.”
M. CastellanosManaging Member · Retail development group
“Our partnership had run its course and neither side could agree on what the company was worth. Jeffrey kept it out of litigation and got us to a clean separation in six weeks.”

D. Whitfield

Founder · Industrial services company

“Rebecca restructured the ownership two years before we sold. That work is the reason the sale held together in diligence instead of falling apart in it.”

A. Lindqvist

Chief Executive · Family-held manufacturer

“When the market turned, Jeffrey told us what the bank would actually do before the bank did — then negotiated as if he were sitting on their side of the table.”

J. Reyes

Principal · Mixed-use investor

“I called Rebecca on a Friday about a shareholder dispute that threatened the whole business. Monday morning I had a plan, a timeline, and a first letter drafted.”

P. Navarro

President · Commercial contractor

Most of what we fix was visible in the paperwork months earlier. A short conversation is usually enough to tell you where you stand.
